End User License Agreement

The following is a legal agreement between Spoke Type Oy (Spoke) and You (the Licensee).

By purchasing, downloading, installing and or using the Font Software, You acknowledge that you have read, understood, and agree to be bound by the terms of this End User License Agreement (EULA, License or Agreement).

You may acquire the license to the Fonts on behalf of Your end user client. However, You must ensure that the end user client accepts and is bound by the terms of this Agreement without any alterations to its terms. You may not use the same Fonts Yourself without an additional license.

Ownership

All right, title and interest in and to the Fonts are exclusive property of Spoke. All rights not expressly identified and granted herein are expressly reserved. You may not sell, lease, sublicense, or otherwise assign or transfer any rights, duties or obligations under this Agreement, in whole or in part, except as expressly provided herein.

Copying Software

With the exception of the points explicitly mentioned within this EULA, copying the Font Software is not permitted.

Any copies that the Licensee is permitted to produce based on this agreement, must contain the same copyright, trademark, and other property clauses as those on or contained within the Font Software. The Licensee agrees not to modify, adapt, or translate the encoding of the Font Software, nor reproduce,
decompile, disassemble, reverse-engineer, change, modify or otherwise attempt to reveal the source code of the Font Software.

The Licensee also agrees to use the trademarks that are connected to the Font Software accordingly and to accept the usage of the trademarks, including the identification of the owner of the respective trademark. These trademarks may only be used for the purpose of identifying the Font Software.

Definitions

“Font”, “Fonts” or “Font Software” have the same meaning in this Agreement. They are defined as the designs of the Fonts and the Software identified on Your Sales Receipt that produces a typeface design(s) together with any other artworks that may be associated with the Font.

“Spoke”/“We”/“Us” means Spoke Type Oy.

“Application” means a stand-alone application for one of the following operating system platforms: Apple MacOS, Apple iOS, Android, Microsoft Windows. Other operating system platforms may also be covered under this Agreement if they support the font files as they are supplied by Spoke. However, Spoke cannot provide any technical support for such other operating system platforms.

“Embed/Embedding” means the use of the Fonts in Applications, to style dynamic or static text. Embedding of the Fonts may be allowed depending on the license. However, You may never Embed the Fonts directly into any physical devices or save the Fonts to a device and assign that device to any third party.

“Your Organization”/“You” means the company You are the owner or employee of or the organization the company is part of, including all places of business. Your Organization shall not include clients or other third parties, including self-employed parties who are working for you but not at one of your places of business.

Desktop License

A desktop license allows the licensee to use the font software to design, produce and edit printable and digital assets and for printed text media.

You purchase a perpetual, worldwide, one-off license to use the Fonts on a certain number of devices within Your Organization. You may install the Fonts to the number of computers you purchased a license for. You may not install the Fonts on any additional devices or transfer the Font files between the devices. You are allowed to make one archival copy for which You shall retain exclusive custody and control over. Providing the Fonts to any third parties is prohibited. You may provide a copy of the Fonts to a repress bureau or printer as part of a file release if necessary.

You may Embed the Fonts into PDF, PS and EPS files in a secured read/print- only mode provided that the document itself is not a commercial product. Embedding the Fonts into any other format is prohibited under this license. Embedding the Fonts in non-secured modifiable environment and/or as the document itself is a commercial product, requires an upgrade to the license.

The price of the license is determined by the number of devices/licenses.

Modifying the Fonts

You may create outline artworks based upon the Fonts for Your personal or business use. However, the use of any font creation or font manipulation program or any attempt to modify the Font for the purposes of creating a usable, derivative or substitute version of the Font is prohibited. Under no circumstances may You modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or otherwise attempt to discover the source code of the Fonts or the designs embodied therein. You further agree not to commission or authorise any third party to undertake modifications to the Fonts without prior written consent from Spoke.

Web License

The Fonts may be used for styling text on Your Website via the CSS @font-face rule for the Domain specified on Your Sales Receipt. The Fonts are licensed for Your use only. You may not use the Fonts as a tool or resource for third parties to create customised products or documents. Further, the Fonts may not be served to unlicensed Domains, even if they are hosted on a licensed domain.

Under this licence You must own the Domain and control the content of the licensed Websites. Your licence must cover the total number of average monthly Unique Users or Page Views across all of Your Websites. If Your use increases over time You must upgrade Your licence. You may use the Fonts for dynamic web-based advertising and email marketing as well as Your website.

Page View Limitations

You agree to record and control the number of monthly visitors by using a generally recognized analytics tool to be able to document the number of visitors on the website. In case the number of monthly visitors exceeds the limit set by the license, You must upgrade the license to cover the exceeding part. As per a written request by Spoke, You will have to provide, without undue delay, screenshots of Your analytics tool to prove that the number of visitors per month is below the maximum limit covered by the license.

Modifications

You may not engage third parties to create modifications, derivative works or extensions to any font associated with the Fonts. You are also not permitted to modify, adapt, translate, reformat, reverse engineer, decompile, disassemble, alter or attempt to discover the computer code of the Fonts or the designs embodied therein.

Broadcasting

The Broadcast license is an extension of the basic Desktop License. You may install and use the Fonts on multiple devices for the purposes of work related to Your Broadcast Media and related Marketing Communications. You and any Authorised Persons are entitled to incorporate the Fonts and the designs embodied therein into any form of Broadcast Media, whether the final output is static or dynamic, for Broadcast, and within any related Marketing Communication. There is no upper limit to the Broadcast Media or Marketing Communication output for Your promotional purposes, as long as the licence tier purchased for Your Production Budget or Audience Size is adhered to.

Modifying the Fonts

App License

The App Fonts may be embedded in a single App as specified on Your Sales Receipt. You may use the App Fonts for styling, viewing and editing text in Your App. You and the End User may use the Fonts to output static files like PDF, PNG and JPG, provided the End User does not have the ability to edit the Fonts in the final format. The license granted herein is specific to You and the Applications registered in Your purchase. You may not, without the express written consent of Spoke, transfer, loan, sell or assign the rights granted herein.

Modifications

Trial License

The Trial Fonts may be used only within Your organisation. You may use the Test Fonts to create visualisations for evaluation purposes and not for use in production, distribution or resale. You may present the Test Fonts through print, web or mobile applications and install them on the necessary amount of devices within your organisation. You may use the Fonts to deliver presentations to Your clients to demonstrate the potential use(s) of the Fonts. You are not allowed to use the Test Fonts for any commercial purposes or for work which will be published.

You must not modify, adapt, translate, reverse engineer, decompile, disassemble, alter or otherwise attempt to discover the source code of the Test Fonts or the designs embodied therein.

General

These general terms shall apply to Your contractual relationship with Spoke for all licenses. Each license will additionally include specific terms.

Term and termination

This Agreement shall be effective upon download, installation or use of the Fonts. Spoke may terminate this Agreement for any breach of the Agreement. In the event of termination You must immediately cease the use of the Fonts and destroy all copies of the Fonts. The termination of this Agreement shall not prevent Spoke from suing You for damages of any breach of the Agreement.

Copyright

The Fonts and the accompanying materials are protected by copyright and contain proprietary information and trade secrets of Spoke. Unauthorized copying of the Fonts even if modified, merged, or included with other software, or of the written materials, is strictly forbidden.

Returning and exchanging fonts.

The licensed Fonts are provided “as is.” Spoke will provide technical support for functionality of the Fonts but We cannot guarantee perfect functionality on every operating system platforms. The font software may be returned or exchanged only if defective [unable to install or broken glyphs] and will be replaced only when accompanied by a valid sales receipt within four (4) weeks of purchase. If we fail to fix the shortcoming within 30 days, You may ask for a refund. After a refund the respective license terminates with an immediate effect and any further use of the Fonts is strictly forbidden.

Warranties & liabilities

Spoke owns all rights in and to the Fonts and Your use of the Fonts in accordance with this Agreement will not infringe any third-party intellectual property rights. Spoke shall not be liable for any direct, indirect, consequential, or incidental damages (including damages from loss of business profits, business interruption, loss of business information, and the like) arising out of the use of the Fonts. Spoke’s liability to pay any kind of damages, is under all circumstances limited to the price paid for the Fonts which shall be at Spoke’s sole discretion.

Refunds

Our product is a piece of software, so we cannot verify if you have deleted it or not, as such, we cannot offer any refunds for unused purchases. We can only offer refunds for reasons described in our licensing agreements. If you cannot use our fonts for technical reasons we will work with you to solve these problems. If we cannot assist you then we will offer a refund.

Reference use

Unless otherwise expressly requested in writing by You, Spoke may use Your company’s or Your Organization’s name and trademarks to identify You as a customer of Spoke and publish images and videos of the use of the Fonts in Spoke’s promotional and marketing materials.

Applicable law and court of jurisdiction

This Agreement shall be governed by and construed exclusively in accordance with Finnish law. Place of performance and exclusive place of jurisdiction is the location of the headquarters of Spoke, currently Helsinki, Finland

Spoke expressly reserves the right to amend and modify this Agreement at any time and without obligation of prior notification.
